UNICONNECT TERMS OF SERVICE

These Terms (“Terms”) govern your use of UniConnect (the “Service”) operated by Musicbox IV LLC (“UniConnect,” “we”).

1. Acceptance; Binding Agreement

By creating an account, clicking “I Agree,” or accessing or using the Service, you agree to be bound by these Terms and acknowledge you have read and understood them. These Terms incorporate by reference and include our Privacy Policy, Community Guidelines, Content Moderation Policy, Intellectual Property / DMCA Policy, and Data Retention & Deletion Policy (collectively, the “Policies”). If you do not agree, you may not use the Service.

IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION: These Terms include a binding arbitration agreement and class action waiver in Section 14 that affects your legal rights.

If you use the Service on behalf of an organization or other entity, you represent and warrant that you have authority to bind that entity, and “you” includes that entity.

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, in the Service or by email). Unless otherwise stated, updated Terms are effective when posted, and your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Service and delete your account.We may change, suspend, or discontinue any part of the Service at any time (including features, content availability, and eligibility/verification methods), with or without notice, and we will not be liable for any such changes to the extent permitted by law.

2. Eligibility

Minimum Age. The Service is intended for users who are at least 16 years old. You may not use the Service if you are under 16. If we learn that you are under 16, we may suspend or terminate your account and take steps to delete or de-identify associated information consistent with our Policies.

Users 16–17. If you are 16 or 17, you represent that you have your parent or legal guardian’s permission to use the Service and that your parent/guardian has reviewed and agreed to these Terms on your behalf to the extent required by law.

Student Verification / Campus Eligibility. The Service is intended for UCSB and SBCC students who register with a verified UCSB/SBCC email address (or other verification method we may allow from time to time). We may restrict, suspend, or terminate accounts that cannot be verified, that misrepresent affiliation, or that otherwise do not meet eligibility requirements.

Other Restrictions. You may not use the Service if (a) you are prohibited from using the Service under applicable law, or (b) your account has previously been suspended or terminated by UniConnect and you have not received our written permission to create a new account.

Changes. We may change eligibility criteria (including age and verification requirements) at any time, and continued use after such changes constitutes acceptance of the updated requirements.

3. Accounts and Security

Registration and Accuracy. You agree to provide accurate, current, and complete information when creating and maintaining your account (including your school affiliation and verified email where required), and to promptly update it if it changes. You may not misrepresent your identity or affiliation.

Account Responsibility. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to use a strong password and take reasonable steps to secure your device and access to the Service.

No Sharing; No Transfers; No Evasion. You may not share, sell, license, or transfer your account or credentials to any other person. You may not create or use an account to evade enforcement actions (including suspensions or bans) without UniConnect’s written permission.

Third-Party Login. If you register or sign in through a third-party account (e.g., Google or an Instagram-linked login), you authorize us to access certain account information as permitted by that provider and your settings. Your use of third-party login is also subject to the provider’s terms, and you are responsible for maintaining access to your third-party account. We are not responsible for interruptions or inability to access the Service caused by third-party authentication issues.

Security Incidents. You must promptly notify us at help@uniconnect.social if you suspect unauthorized access to or use of your account, credentials, or device. You agree to cooperate with reasonable security or fraud-prevention measures.

Verification and Protective Actions. To protect the community and the integrity of the Service, we may require additional verification or take protective actions at any time, including disabling features, limiting access, resetting credentials, or suspending an account if we reasonably believe the account is compromised, used fraudulently, or violates these Terms or our Policies.

Automated Access. You may not use bots, scripts, scrapers, or other automated means to create accounts, access the Service, or attempt to bypass security or verification measures without our prior written permission.

4. User Content and License

User Content. “User Content” means any content or materials you submit, post, upload, transmit, generate, or otherwise make available through the Service, including event listings, text, images, links, locations you enter, profile information, reports, and any AI-generated event flyers or other outputs you choose to post.

You Are Responsible for User Content. You are solely responsible for your User Content and the consequences of posting or sharing it. UniConnect does not endorse, verify, or guarantee the accuracy, legality, safety, or quality of User Content. We have no obligation to host, display, store, or maintain any User Content and may remove or restrict access to User Content at any time consistent with these Terms and our Policies.

Your Rights; Your Permissions. You retain ownership of your User Content as between you and UniConnect. However, by submitting User Content, you represent and warrant that: (a) you own or have obtained all rights, licenses, consents, and permissions necessary to submit and use the User Content in connection with the Service; (b) your User Content does not infringe, misappropriate, or violate any third-party intellectual property, privacy, publicity, or other rights; and (c) your User Content complies with applicable law, these Terms, and our Policies.

License to UniConnect. You grant UniConnect a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use, host, store, cache, reproduce, modify, adapt, translate, reformat, create derivative works from (for technical and operational purposes), publish, distribute, publicly display, and otherwise exploit your User Content in any media or distribution method now known or later developed, solely to:

operate, provide, maintain, secure, and improve the Service (including troubleshooting, analytics, and abuse prevention);

display and distribute your User Content to other users as part of the Service (including showing your event and associated media);

promote your event within the Service and communicate about it to users inside the Service; and

enforce these Terms and our Policies and comply with legal obligations.

Attribution. You agree that UniConnect may associate and display your User Content with your account information (such as your name/username, profile photo, and school affiliation) as part of the Service.

Moral Rights. To the maximum extent permitted by law, you waive and agree not to assert any “moral rights,” “droit moral,” or similar rights you may have in your User Content against UniConnect or its users, and you consent to any acts that would otherwise infringe those rights (including edits or formatting changes made for technical, safety, or display reasons).

Deletion and Duration. This license continues until your User Content is deleted from the Service. However, the license will continue with respect to copies of User Content that: (a) have been shared with others and not deleted by them; (b) are retained in backups for a limited period; (c) are retained in de-identified or anonymized form; or (d) must be retained for legal, security, fraud prevention, or safety purposes.

Feedback. If you submit suggestions, ideas, or feedback about the Service (“Feedback”), you grant UniConnect a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the Feedback for any purpose without compensation or attribution to you.

5. Prohibited Conduct

You agree not to, and not to attempt to, encourage, assist, or enable others to:

A) Break laws or violate rights

  • Violate any applicable law or regulation.
  • Infringe, misappropriate, or otherwise violate any third-party rights, including intellectual property, privacy, or publicity rights.

B) Post or engage in harmful content or conduct

  • Post, share, or promote content or conduct prohibited by our Community Guidelines or other Policies.
  • Harass, threaten, stalk, bully, intimidate, or abuse any person, or incite violence or harm.
  • Dox, expose, or share someone else’s personal information without permission (including phone numbers, addresses, private messages, or identifying details).
  • Post scams, fraud, phishing, deceptive practices, or misleading content (including fake events, fake deals, or false claims about venues/campus affiliation).
  • Impersonate any person or organization, or misrepresent your identity, affiliation, or the origin/accuracy of content (including UCSB/SBCC staff or organizations).

C) Spam, manipulation, or unauthorized promotion

  • Send spam, bulk solicitations, chain messages, or repetitive promotional content.
  • Post unauthorized commercial promotions, advertisements, or solicitations unless explicitly allowed by UniConnect (including activity outside approved Sponsored Pins / Business Offers programs).
  • Manipulate visibility, rankings, or engagement through inauthentic behavior (including coordinated manipulation, bot activity, or paid engagement schemes).

D) Abuse reporting, moderation, or enforcement systems

  • Submit knowingly false, misleading, or abusive reports or appeals.
  • Coordinate mass-reporting (“brigading”) to silence others.
  • Attempt to evade enforcement actions, including suspensions, bans, or verification requirements, including by creating new accounts without our written permission.

E) Unauthorized access, security violations, or interference

  • Attempt to access or use accounts, data, or systems you do not have permission to access.
  • Probe, scan, or test the vulnerability of any UniConnect system or network.
  • Circumvent, disable, interfere with, or bypass security- or access-related features (including verification and rate limits).
  • Introduce malware or harmful code, or engage in actions that disrupt, overload, or impair the Service (including denial-of-service attacks).
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying components of the Service, except to the extent such restriction is prohibited by law.

F) Scraping, harvesting, and misuse of data

  • Scrape, crawl, spider, harvest, or collect information from the Service by automated means without our prior written permission.
  • Collect or use information from the Service (including user profiles or event details) to build datasets, directories, or marketing lists, or to contact users outside the Service without their consent.

Violation of this Section may result in content removal, account suspension or termination, and (where appropriate) referral to law enforcement.

6. Events: Disclaimers

UniConnect hosts user-posted events and related content. We do not guarantee the accuracy, completeness, safety, legality, or quality of any event, venue, organizer, attendee, or event-related information displayed through the Service. You are solely responsible for your decisions and safety when posting, viewing, attending, or otherwise engaging with events, including verifying event details and complying with all applicable laws, campus policies, and venue rules. UniConnect is not a party to any arrangement between users and does not provide event security, supervision, or screening.

Sponsored Pins and Business Offers. The Service may display paid placements from local businesses, including “Sponsored Pins” on the map and related deals or promotions (“Business Offers”). Sponsored Pins are advertising placements, not endorsements. UniConnect does not guarantee the accuracy, availability, pricing, legality, or quality of any Business Offer and is not responsible for disputes between you and a business. Any interaction, redemption, or transaction you choose to make with a business is solely between you and that business, and you are responsible for reviewing and complying with any applicable terms, restrictions, and laws. Business Offers may be modified or removed at any time.

UniConnect is not affiliated with or endorsed by the University of California, Santa Barbara (UCSB), Santa Barbara City College (SBCC), or any campus administration unless explicitly stated.

7. Reporting and Enforcement

Reporting. Users may report events or other content through in-app reporting tools and by email at help@uniconnect.social. We may request additional information to evaluate a report.

No Duty to Monitor; No Guarantee. We do not have an obligation to monitor all content or user activity, and we do not guarantee that any content will be reviewed, removed, or reinstated within a particular time frame.

Enforcement Discretion. We may take any action we deem appropriate, in our sole discretion, to enforce these Terms and our Policies, protect the community, and comply with law. Actions may include, without limitation: removing content; limiting visibility or distribution; adding warnings or labels; restricting features; requiring edits or verification; temporarily suspending or permanently terminating accounts; and preserving information for safety, security, compliance, or dispute-resolution purposes.

Safety and Legal Cooperation. We may investigate suspected violations and may cooperate with law enforcement or comply with legal requests where we believe it is reasonably necessary to protect UniConnect, users, or the public, or to comply with applicable law.

All reporting and enforcement processes are further described in our Content Moderation Policy, which is incorporated by reference.

8. Termination

Termination or Suspension by UniConnect. We may, at any time and in our sole discretion, suspend, restrict, or terminate your access to the Service (including disabling specific features or limiting visibility of your content), with or without notice, to the extent permitted by law. This includes, without limitation, situations where we believe you have violated these Terms or our Policies, misrepresented eligibility or affiliation, created risk or harm to the community, engaged in fraud or abuse, or where termination is necessary to protect the security or integrity of the Service or comply with law.

Termination by You. You may stop using the Service at any time. Where available, you may delete your account through self-serve tools. Deleting the app does not delete your account.

Effect of Termination. Upon termination, you must stop using the Service. UniConnect may remove, restrict, or retain User Content and account information in accordance with these Terms and our Policies, including retention of de-identified or anonymized records and retention required for legal, security, fraud-prevention, or safety purposes. We may also prevent you from re-registering or using the Service without our written permission.

Fees. If the Service later offers paid features, all fees are non-refundable except as required by law or expressly stated in writing by UniConnect.

Survival. Sections relating to User Content license (to the extent applicable after deletion), intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution/arbitration, and other provisions that by their nature should survive termination.

9. Third-Party Services

The Service may integrate, rely on, or provide access to third-party services, software, APIs, content, or websites (“Third-Party Services”), including without limitation Mapbox (address autocomplete/mapping services) and Pollinations (AI image generation for optional event flyers). Third-Party Services may be subject to their own terms, policies, and fees, and your use of Third-Party Services is at your own risk.

No Control; No Endorsement. UniConnect does not control and is not responsible for Third-Party Services, including their availability, accuracy, legality, content, security, privacy practices, or performance. References to Third-Party Services do not imply endorsement.

Third-Party Terms Govern. Your relationship with any Third-Party Service provider is solely between you and that provider. UniConnect is not a party to, and disclaims responsibility for, any terms, transactions, disputes, or interactions between you and a Third-Party Service provider.

Feature Dependencies. Certain features may require Third-Party Services to function. UniConnect may modify, suspend, or discontinue integrations at any time, including due to Third-Party Service changes, outages, or deprecations, and UniConnect will not be liable for any resulting unavailability, loss of functionality, or data.

External Links and Content. The Service may contain links to third-party websites or resources. UniConnect is not responsible for such links or any third-party content, products, or services accessed through them.

Data Transfers. When you use features that rely on Third-Party Services, certain information may be transmitted to those providers to deliver the feature (for example, address input to Mapbox for autocomplete, or your prompt and optional short profile hints to Pollinations for flyer generation), as described in our Privacy Policy.

If you purchase or use Business Products (e.g., Sponsored Pins/Business Offers) on behalf of a business, your use is also governed by our Business Terms, which are incorporated by reference.

10. Intellectual Property

UniConnect IP. The Service, including its software, code, user interface, design, look and feel, logos, trademarks, service marks, trade names, text, graphics, and other content (excluding User Content) (collectively, “UniConnect IP”), is owned by UniConnect or its licensors and is protected by intellectual property laws.

Limited License to You. Subject to your compliance with these Terms and our Policies, UniConnect grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use as intended, except as expressly authorized by UniConnect in writing or under UniConnect’s Business Terms. UniConnect may revoke this license at any time consistent with these Terms (including upon suspension or termination).

Restrictions. Except as expressly permitted by UniConnect in writing, you may not (and may not allow any third party to):

  • copy, reproduce, distribute, publicly display, sell, rent, lease, lend, sublicense, or otherwise exploit any UniConnect IP;
  • modify, create derivative works from, translate, reverse engineer, decompile, or disassemble the Service or UniConnect IP (except to the extent such restriction is prohibited by law);
  • remove, alter, or obscure any proprietary notices; or
  • use UniConnect IP in a way that suggests affiliation with or endorsement by UniConnect without permission.

Trademarks and Brand Use. “UniConnect,” the UniConnect logo, and any related names, logos, product and service names, designs, and slogans are trademarks of UniConnect or its licensors. You may not use, register, or adopt any domain name, social handle, app name, or mark that is confusingly similar to UniConnect’s marks without our prior written consent.

Third-Party Materials and Open Source. The Service may include or rely on third-party software, content, or components (including open-source software) that are subject to separate terms and licenses. Third-party names and marks are the property of their respective owners.

Infringement Claims. If you believe content on the Service infringes intellectual property rights, please contact us as described in our Intellectual Property / DMCA Policy, or email help@uniconnect.social.

Reservation of Rights. All rights not expressly granted to you in these Terms are reserved by UniConnect and its licensors.

11. Warranty Disclaimers

THE SERVICE (INCLUDING ALL CONTENT, MATERIALS, FEATURES, AND FUNCTIONALITY) IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNICONNECT DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, UNICONNECT DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) DEFECTS WILL BE CORRECTED; (C) THE SERVICE OR ANY SERVERS OR SYSTEMS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) ANY CONTENT OR INFORMATION (INCLUDING USER CONTENT, EVENT DETAILS, OR BUSINESS OFFERS) WILL BE ACCURATE, COMPLETE, RELIABLE, OR LAWFUL.

YOU ACKNOWLEDGE THAT EVENTS, DEALS, AND OTHER INFORMATION MAY BE USER-POSTED OR PROVIDED BY THIRD PARTIES, AND UNICONNECT MAKES NO WARRANTIES REGARDING THE SAFETY, LEGALITY, QUALITY, OR OUTCOMES OF ANY EVENT OR ANY INTERACTION WITH OTHER USERS OR BUSINESSES. IF THE SERVICE PROVIDES OPTIONAL AI-GENERATED OUTPUTS (SUCH AS EVENT FLYERS), UNICONNECT MAKES NO WARRANTIES REGARDING THE ACCURACY, ORIGINALITY, NON-INFRINGEMENT, OR SUITABILITY OF SUCH OUTPUTS.

OPT OUT OF THE SALE OF PERSONAL INFORMATION (AND OPT OUT OF SHARING FOR CROSS-CONTEXT BEHAVIORAL ADVERTISING IF APPLICABLE)

THIRD-PARTY SERVICES MAY BE USED TO PROVIDE OR SUPPORT CERTAIN FEATURES, AND UNICONNECT MAKES NO WARRANTIES REGARDING THE AVAILABILITY OR PERFORMANCE OF THIRD-PARTY SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS ON IMPLIED WARRANTIES, SO SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

12. Limitation of Liability

Exclusion of Certain Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNICONNECT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF UNICONNECT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

No Liability for Third-Party and User Conduct. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNICONNECT IS NOT LIABLE FOR (A) USER CONTENT, INCLUDING EVENT DETAILS, IMAGES, LINKS, OR LOCATIONS SUBMITTED BY USERS; (B) YOUR OR ANYONE ELSE’S PARTICIPATION IN OR ATTENDANCE AT EVENTS; (C) DISPUTES OR INTERACTIONS BETWEEN USERS, OR BETWEEN USERS AND BUSINESSES (INCLUDING SPONSORED PINS OR BUSINESS OFFERS); OR (D) ACTS OR OMISSIONS OF THIRD-PARTY SERVICES OR PROVIDERS.

Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNICONNECT’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) WILL NOT EXCEED US $100 OR THE AMOUNT YOU PAID UNICONNECT (IF ANY) FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER. THIS CAP APPLIES IN THE AGGREGATE TO ALL CLAIMS AND IS YOUR EXCLUSIVE REMEDY.

Basis of the Bargain. YOU ACKNOWLEDGE THAT UNICONNECT HAS OFFERED THE SERVICE AND ENTERED INTO THESE TERMS IN RELIANCE ON THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH HEREIN, AND THAT THESE PROVISIONS REFLECT A REASONABLE ALLOCATION OF RISK.

Legal Exceptions (California / Non-Waivable Rights). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR LIABILITY. IN SUCH JURISDICTIONS, UNICONNECT’S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY FOR FRAUD, INTENTIONAL MISCONDUCT/INTENTIONAL TORTS, WILLFUL INJURY, OR VIOLATION OF LAW WHERE SUCH LIMITATION OR EXCLUSION IS PROHIBITED BY CALIFORNIA CIVIL CODE § 1668 OR OTHER APPLICABLE LAW.

13. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless UniConnect, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and service providers (collectively, the “UniConnect Parties”) from and against any and all claims, demands, actions, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising out of or relating to:

your access to or use of the Service;

your User Content (including any allegation that your User Content infringes, misappropriates, or violates any intellectual property, privacy, publicity, or other rights of any person or entity);

any event you post, organize, promote, host, attend, or otherwise participate in, and any resulting disputes, injuries, damages, or losses;

your interactions with other users or local businesses, including disputes related to Sponsored Pins or Business Offers (if any);

your violation of these Terms or any of our Policies (including Community Guidelines and Content Moderation Policy); or

your violation of any applicable law, rule, or regulation.

Defense and Control. UniConnect may, at its option, assume control of the defense and settlement of any indemnified claim. You agree to cooperate reasonably with the UniConnect Parties in the defense of any claim, including providing information and assistance as requested. You may not settle any claim in a manner that imposes any obligation or liability on any UniConnect Party without UniConnect’s prior written consent.

This indemnification obligation will survive termination of your account and these Terms.

14. Arbitration Agreement and Class Action Waiver (U.S./California)

PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS AND INCLUDES A WAIVER OF YOUR RIGHT TO A JURY TRIAL.

A) Agreement to Arbitrate; Federal Arbitration Act

Except as expressly provided in Section 14(C) (Exclusions), you and UniConnect agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your use of the Service, or the relationship between you and UniConnect (each, a “Dispute”) will be resolved by binding, individual arbitration and not in court. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this Section 14.

B) Informal Resolution First (Required)

Before initiating arbitration (or a court proceeding for an excluded claim), you agree to send UniConnect a notice of the Dispute by email to help@uniconnect.social with the subject line “Notice of Dispute” and include: (i) your name and account email, (ii) a description of the Dispute, (iii) the relief you are seeking, and (iv) any documents or information you want UniConnect to consider. UniConnect will have a reasonable opportunity to respond and attempt to resolve the Dispute informally. You and UniConnect agree to participate in good-faith informal resolution efforts for at least 30 days after receipt of the Notice of Dispute, unless the parties mutually agree to extend.

C) Exclusions (Claims Not Required to Be Arbitrated)

This arbitration agreement does not require arbitration of:

Small claims matters that qualify to be brought in small claims court, brought on an individual basis in a court of competent jurisdiction;

Intellectual property claims (including claims for injunctive relief to stop alleged infringement or misuse of intellectual property rights); and

Claims for public injunctive relief to the extent such claims, under California law, cannot be waived or forced into arbitration. Any request for public injunctive relief (i.e., relief sought primarily to prohibit alleged unlawful acts that threaten future injury to the general public) will be decided by a court, not an arbitrator.

If a Dispute includes both arbitrable claims and excluded claims, the parties agree that the arbitrable claims will be arbitrated, and the excluded claims will be stayed or proceed in court consistent with applicable law and any required sequencing.

D) Arbitration Administrator; Rules; Filing

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules and Mediation Procedures then in effect, unless AAA is unavailable or declines to administer, in which case the arbitration will be administered by JAMS under its consumer rules, or another administrator agreed by the parties. If the administrator’s rules conflict with this Section 14, this Section 14 controls to the extent permitted by law.

E) Arbitration Location and Format

Arbitration will be conducted:

  • by video or telephone unless you request an in-person hearing, or
  • in person in Santa Barbara County, California or the county where you reside, as required or permitted by the administrator’s consumer rules and applicable law.

F) Arbitrator Authority; Delegation

The arbitrator will have exclusive authority to resolve any Dispute, including any issue relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court will decide: (i) whether a claim qualifies for small claims court under Section 14(C)(1), and (ii) issues relating to the public injunctive relief carve-out in Section 14(C)(3), to the extent required by California law.

The arbitrator may award any relief that would be available in court for the individual claims before the arbitrator, consistent with applicable law and these Terms. The arbitrator must issue a written decision sufficient to explain the essential findings and conclusions.

G) Fees and Costs

Payment of arbitration fees will be governed by the administrator’s consumer fee schedule and applicable law. For consumer arbitration administered by AAA, your filing fee will be capped at the consumer amount set by AAA’s Consumer Arbitration Rules fee schedule, and UniConnect will pay the remaining AAA administrative fees and arbitrator compensation required by those rules, except where the arbitrator determines you filed a claim for harassment or that is patently frivolous, or where applicable law allows fee-shifting.

H) Class Action and Representative Action Waiver

YOU AND UNICONNECT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR OTHER REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or award relief to anyone who is not a party to the arbitration, except as permitted by the administrator’s rules and applicable law.

I) Mass Arbitration (Batching) — Optional but Recommended

If 25 or more similar arbitration demands are filed against UniConnect by the same or coordinated counsel and are determined to be a “mass arbitration” under the administrator’s rules or fee schedule, the parties agree to a batch process to promote efficient resolution consistent with the administrator’s rules: (1) the parties will select a limited number of cases to proceed first as “bellwethers,” (2) the remaining cases will be stayed while bellwethers proceed, and (3) the parties will participate in good-faith settlement discussions after bellwether outcomes before proceeding with additional batches. Any batching process will be administered in a manner consistent with the administrator’s rules and applicable law.

J) Opt-Out

You may opt out of arbitration by emailing help@uniconnect.social within 30 days of first accepting these Terms. Your email must be sent from the email associated with your UniConnect account and include your full name, your account email, and a clear statement that you are opting out of arbitration. If you opt out, Section 14 will not apply to you, and disputes will be resolved in court subject to Section 15 (Governing Law) and any applicable venue rules.

K) Severability

If any portion of this Section 14 is found unenforceable, the unenforceable portion will be severed and the remainder will be enforced to the maximum extent permitted by law. If the class/representative action waiver in Section 14(H) is found unenforceable with respect to a particular claim and cannot be severed, then that claim will proceed in court and not in arbitration, to the extent required by law.

15. Governing Law; Venue

Except as provided in Section 14 (Arbitration Agreement and Class Action Waiver), these Terms and any Dispute will be governed by the laws of the State of California, without regard to conflict-of-law principles. Section 14 and any Dispute regarding the interpretation, applicability, enforceability, or formation of the arbitration agreement will be governed by the Federal Arbitration Act and applicable federal arbitration law.

Venue for Court Proceedings. To the extent a Dispute is not subject to arbitration or is expressly excluded from arbitration under Section 14 (including small claims, intellectual property claims seeking injunctive relief, and claims for public injunctive relief to the extent required by California law), you and UniConnect agree that such Dispute will be brought exclusively in the state courts located in Santa Barbara County, California, or the U.S. District Court for the Central District of California, and each party consents to personal jurisdiction and venue in those courts and waives any objection based on improper venue or inconvenient forum.

Small Claims Exception. Notwithstanding the foregoing, either party may bring an eligible Dispute in small claims court on an individual basis in a court of competent jurisdiction consistent with Section 14.

Notices from UniConnect to You. We may provide notices to you by email to the address associated with your account, through in-app notifications, or by posting in the Service. You are responsible for keeping your account email current. Notices are effective when sent (for email), when delivered through the Service (for in-app), or when posted (for posting), unless otherwise required by law.

Notices to UniConnect. Except where these Terms specify a different method, notices to UniConnect should be sent by email to help@uniconnect.social. We may require that certain legal notices (including DMCA notices) include additional information as described in our Policies.

Electronic Communications. By using the Service, you consent to receive communications from us electronically (e.g., email, in-app messages, and postings), and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

17. App Store / Platform Terms

Apple App Store. If you download the Service from Apple’s App Store, you acknowledge and agree that:(a) these Terms are between you and UniConnect, and not Apple;(b-1) Apple has no obligation to provide maintenance or support for the Service;(b-2) The Service is licensed, not sold, to you, and you may use it only on Apple-branded products that you own or control and as permitted by applicable usage rules;(c) UniConnect, not Apple, is responsible for addressing any claims relating to the Service, claims that the Service fails to conform to legal or regulatory requirements, and claims under consumer protection or similar laws including product liability claims, claims that the Service fails to conform to legal or regulatory requirements, and claims under consumer protection, privacy, or similar laws;(d) UniConnect, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party claim that the Service or your possession and use of it infringes that third party’s intellectual property rights;(e) you represent that you are not located in a country subject to a U.S. Government embargo and are not listed on any U.S. Government list of prohibited or restricted parties; and(f) you and UniConnect acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as they relate to your license of the Service, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary. 

Google Play. If you download the Service from Google Play, you acknowledge that your use of the Service may also be subject to Google Play’s applicable terms and policies.

18. No Third-Party Beneficiaries

Except as expressly provided in Section 17 (Apple App Store third-party beneficiary rights), these Terms do not confer any third-party beneficiary rights on any person or entity.

19. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without UniConnect’s prior written consent. UniConnect may assign these Terms, in whole or in part, at any time (including in connection with a merger, acquisition, corporate reorganization, or sale of assets). Any attempted assignment in violation of this Section is void.

20. Severability

Except as otherwise provided in Section 14 (Arbitration), if any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

21. Entire Agreement

These Terms and the Policies constitute the entire agreement between you and UniConnect regarding the Service and supersede any prior or contemporaneous agreements, communications, or understandings on that subject.

22. No Waiver

UniConnect’s failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by UniConnect to be effective.

23. Force Majeure

UniConnect will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor conditions, power failures, internet disturbances, vendor outages, or governmental actions.

24. Release (Disputes with Other Users or Businesses)

To the maximum extent permitted by law, you release the UniConnect Parties from any and all claims, demands, damages, and disputes (whether known or unknown) arising out of or relating to: (a) disputes between you and other users; (b) disputes between you and businesses (including Sponsored Pins or Business Offers); and (c) events you post, attend, or otherwise engage with.

If you are a California resident, you waive California Civil Code § 1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”This Release does not apply to claims arising from UniConnect’s fraud, intentional misconduct, willful injury, or violation of law where such release is prohibited by applicable law.

Nothing in this Section limits any non-waivable rights you may have under applicable law.
